Prospect Capital Corporation Prices Public Offering of $300 Million 5.000% Senior Unsecured Notes Due 2019
NEW YORK (Marketwired) April 2, 2014 Prospect Capital Corporation (NASDAQ: PSEC, Prospect or Company) announced today that it has priced a public offering of $300 million in aggregate principal amount of its 5.000% senior unsecured notes due 2019 (the Notes), inclusive of $45 million of previously issued notes exchanged for the Notes. The Notes will mature on July 15, 2019, and may be redeemed, in whole or in part, at Prospects option at any time, or from time to time, at par plus a make-whole premium. The Notes will bear interest at a rate of 5.000% per year payable semi-annually on January 15 and July 15 of each year, beginning July 15, 2014. The closing of the transaction is subject to customary closing conditions and the Notes are expected to be delivered on or about April 7, 2014.
Barclays Capital Inc., Goldman, Sachs & Co., RBC Capital Markets, LLC and UBS Securities LLC are acting as lead book-running managers for the offering. BNP Paribas Securities Corp. is acting as passive book-running manager for the offering. BMO Capital Markets Corp. is acting as lead manager and BB&T Capital Markets, a division of BB&T Securities, LLC, Fifth Third Securities, Inc., KeyBanc Capital Markets Inc. and Mitsubishi UFJ Securities (USA), Inc. are acting as co-managers for the offering.
Prospect expects to use the net proceeds from the sale of the Notes to pay down the outstanding balance on its credit facility.
