Item 5.07. Submission of Matters to a Vote of Security Holders
On May 15, 2013, PennyMac Mortgage Investment Trust (the Company) held its Annual Meeting of Shareholders (the Meeting) in Moorpark, California for the purpose of: (i) electing three (3) Class I trustees to serve on the board of trustees (the Board) until the 2016 Annual Meeting of Shareholders; (ii) ratifying the appointment of Deloitte & Touche LLP as the Companys independent registered public accounting firm for the fiscal year ending December 31, 2013; and (iii) approving, by non-binding vote, the Companys executive compensation program. The total number of common shares entitled to vote at the Meeting was 58,990,225, of which 49,870,691 shares, or 84.54%, were present in person or by proxy.
The final voting results for each of the proposals submitted to a vote of shareholders at the Meeting are as follows:
Proposal 1. The election of three Class I trustees to serve on the Board until the 2016 Annual Meeting of Shareholders.
