Explanatory Note

 

On December 17, 2009, AMAG Pharmaceuticals, Inc., or the Company, filed a Current Report on Form 8-K reporting, among other matters, the election of Dr. Leslie Russell to its Board of Directors.  This disclosure supplements the disclosure in the initial report.

 

Item 5.02 Departures of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On December 17, 2009, Dr. Lesley Russell was appointed as a member of the Audit Committee of the Company’s Board of Directors, effective as of the close of business on December 31, 2009.
