On January 7, 2009, the Registrant and Manny S. Gerolamo, the Registrants Senior Vice President, Sales and Marketing, agreed that Mr. Gerolamo would leave the Registrant, effective January 9, 2009. Mr. Gerolamos departure is subject to the payment of severance benefits, as further described herein, under his employment agreement with the Registrant, dated November 14, 2008. The employment agreement, which was described in the Registrants Current Report on Form 8-K filed with the Securities and Exchange Commission on November 17, 2008, is attached hereto as Exhibit 99.1.
Pursuant to his employment agreement, Mr. Gerolamo will receive severance benefits consisting of: (i) base salary and accrued and unused vacation earned through the date of termination; (ii) an amount equal to one times (1.0x) base salary in effect at the time of termination (i.e., $250,000) plus one times (1.0x) on-target annual performance incentive bonus (i.e., 50% of base salary) in effect at the time of termination, paid in installments over the course of twelve (12) months in accordance with the Registrants payroll practices; and (iii) continued participation in Registrants medical, dental and vision plans for 12 months following separation.
