Section 7 — Regulation FD.

Item 7.01            Regulation FD Disclosure.

On July 10, 2007, Emergency Medical Services Corporation (“EMSC”) announced that it has entered into a definitive agreement to purchase all of the outstanding membership units of Mission Care Services, LLC (“MCS”) through an indirect, wholly-owned subsidiary.  MCS is the ultimate parent of Abbott Ambulance, Inc. (“Abbott”), a provider of emergency and non-emergency ground medical transportation services in the metropolitan St. Louis, Missouri area.  MCS is also the parent of Mission Care of Illinois, LLC (“Mission Care of Illinois”), a provider of emergency and non-emergency ground medical transportation services in the counties of St. Clair and Madison, Illinois, and Access2Care, LLC (“Access2Care”), a medical transportation brokerage business.

Upon consummation of the transaction, Abbott, Mission Care of Illinois and Access2Care will be wholly-owned subsidiaries of American Medical Response, Inc., EMSC’s healthcare transportation services segment. The closing of the transaction is subject to regulatory approvals and various other customary closing conditions, and is expected to occur within 30 days of the agreement, which was entered into on July 3, 2007.  A copy of the press release announcing the transaction is attached hereto as Exhibit 99.1.
