On December 15, 2006, Tetra Tech, Inc. (the “Registrant”) issued a press release to announce (i) the prepayment of its senior secured notes in the first quarter of fiscal 2007, (ii) the adjustment of its accrued liabilities, based on favorable legal rulings, relating to its contract dispute with Horsehead Industries, Inc., doing business as Zinc Corporation of America, in the first quarter of fiscal 2007, and (iii) its intention to submit a Rule 12b-25 filing related to its Annual Report on Form 10-K for the fiscal year ended October 1, 2006. A copy of the press release issued by the Registrant concerning the foregoing is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.
