(1)The number of Common Shares being registered represents the estimated maximum aggregate number issuable to employees pursuant to the Xyratex Ltd 2006 Incentive Award Plan (the Plan). This registration statement shall also cover any additional Common Shares which become issuable under the Plan by reason of any stock dividend, stock split, recapitalization or other similar transaction effected without the registrants receipt of consideration which results in an increase in the number of Registrants Common Shares outstanding.
(2)This estimate is made pursuant to Rule 457(h) solely for purposes of calculating the registration fee, and is determined according to the following information: (a) with respect to 460,500 Common Shares, the average of the high and low prices of the Registrants Common Shares on the date of grant for Restricted Stock Units outstanding under the Plan and (b) with respect to 3,669,148 Common Shares, the average of the high and low prices of Registrants Common Shares as reported on the NASDAQ on November 7, 2006.

The Registrants bye-laws contain a provision by virtue of which the Registrants shareholders waive any claim or right of action they may have, both individually and on behalf of the Registrant, against any director or officer in relation to any action or failure to take action by that director or officer, except in respect of any fraud or dishonesty of that director or officer.
