Item 5.02.      Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

 

On June 1, 2006, Benchmark Electronics, Inc. (the Company) issued a press release announcing that John W. Cox resigned from its Board of Directors effective May 26, 2006, as required, to allow him to serve as Chief Financial Officer of the U.S. Department of Housing and Urban Development. Mr. Cox’s resignation was not because of any disagreement with the Company or any matter related to the Company’s operations, policies or practices.

 

The press release announcing the resignation of Mr. Cox is attached hereto as Exhibit 99.1.
