Item 7.01.                          Regulation FD Disclosure.

At an investor conference on May 11, 2005, Aftermarket Technology Corp. reaffirmed its previously released guidance for income from continuing operations per diluted share of $0.28-$0.32 for the quarter ending June 30, 2005 and $1.38-$1.42 for the year ending December 31, 2005.  In addition, we projected the following:

                  For the quarter ending June 30, 2005:

                  net sales of $98-$101 million; and

                  income from continuing operations of $6.0-$6.8 million;

                  For the year ending December 31, 2005:

                  net sales of $425-$435 million;

                  income from continuing operations of $29-$30 million; and

                  net debt (the summation of amounts (i) drawn on our credit facility, (ii) due to sellers of acquired companies, and (iii) under capital lease obligations, less cash and cash equivalents) of $60 million.
