Item 4.01 Changes in Registrants Certifying Accountant.
On March 31, 2005, the Audit Committee of the Board of Directors of Monolithic System Technology, Inc. (the Company) dismissed Ernst & Young LLP (E&Y) as the Companys independent registered public accounting firm. On March 31, 2005, the Audit Committee of the Board of Directors appointed BDO Seidman LLP as the Companys independent registered public accounting firm.
The reports of E&Y with respect to the Companys consolidated financial statements for the fiscal years ended December 31, 2004 and 2003 contained no adverse opinion or disclaimer of opinion and were not qualified or modified as to uncertainty, audit scope or accounting principles. In connection with the Companys audits for its two most recent fiscal years and through March 31, 2005, the Company has had no disagreements with E&Y on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements, if not resolved to the satisfaction of E&Y would have caused them to make reference to the subject matter of the disagreements in their reports on the consolidated financial statements of the Company for such years.
During the Companys two most recent fiscal years and through March 31, 2005, the Company has had no reportable events as defined in Item 304 (a)(1)(v) of Regulation S-K, other than the following which was disclosed in he Companys Form 10-K filed on March 16, 2005. In the Form 10-K, the Company disclosed that it had identified a material weakness for ineffective controls over the preparation and review of account reconciliation and a material weakness for ineffective controls over the application of the Companys revenue recognition policy for recording revenue under long term license development contracts using the percentage-of-completion method of accounting.
During the Companys two most recent fiscal years and through the date of this report, the Company has not consulted with BDO Seidman LLP regarding either (i) the application of accounting principles to a specified transaction, either completed or proposed; (ii) the type of audit opinion that might be rendered on the Companys financial statements; or (iii) any matter that was either the subject of a disagreement, as that term is defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions to Item 304 of Regulation S-K, or a reportable event as described in Item 304(a)(1)(v) of Regulation S-K.
The Company has provided E&Y with a copy of this Form 8-K and has requested that E&Y furnish it with a letter addressed to the Securities and Exchange Commission (the Commission) stating whether it agrees with the statements made by the Company herein and, if not, stating the respects in which it does not agree.
The letter of E&Y to the Commission, dated April 1, 2005, is attached to this Form 8-K as Exhibit 16.
