Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On August 7, 2017, T. Michael York, Executive Vice President and Chief Operating Officer of Fauquier Bankshares, Inc. (the "Company"), notified the Company that he will be resigning from all positions he holds with the Company effective as of August 19, 2017. Mr. York resigned for personal reasons and not due to any disagreement on any matter relating to the Company's operations, policies or practices.
