Internap Network Services Corporation, a Delaware corporation (the “Company”), is filing this Tender Offer Statement on Schedule TO under Section 13(e) of the Securities Exchange Act of 1934, as amended, (the “Statement”), in connection with the offer to exchange outstanding options to purchase the Company’s common stock, par value $0.001, on the terms and subject to the conditions described in the Offer to Exchange Options to Purchase Common Stock, dated November 18, 2002 (the “Offer to Exchange”), and the related attachments thereto.
