(1) This total includes an additional 1,647 shares acquired pursuant to NIC Inc. Employee Stock Purchase Plan since the last filing of a beneficial ownership report by the Reporting Person.
(2) The Reporting Person may be deemed the beneficial owner of 1,433,307 shares of NIC Inc. common stock, which are held directly by the National Information Consortium Voting Trust ("Voting Trust"), for which Messrs. Jeffery S. Fraser and Ross C. Hartley act as trustees. The Reporting Person has a pecuniary interest in these shares. The Reporting Person does not have investment control over such shares, but has the power to dispose of the voting trust certificates held by the Reporting Person, subject to the terms of the Voting Trust. The trustees have the power to dispose of such shares held by the Voting Trust, and the Reporting Person disclaims beneficial ownership of such shares to the extent such shares are disposed of by the trustees.
