November 13, 2002 . . . Titanium Metals Corporation ("TIMET" or the "Company") (NYSE: TIE) announced today the Company's Board of Directors has unanimously approved a reverse split of TIMET's common stock, $.01 par value per share, at a ratio ranging from one-for-eight up to and including one-for-ten. The reverse stock split proposal will be submitted to the Company's stockholders at an upcoming special meeting called for that purpose. The date, time and place of the stockholder's meeting will be announced once determined. Assuming stockholder approval, the Board will determine the applicable reverse split ratio and effect the reverse stock split at that ratio. As a result of the proposed reverse stock split, the conversion rate at which the Company's outstanding 6.625% Convertible Preferred Securities convert into TIMET common stock, as well as all stock options convertible into TIMET common stock, would be adjusted proportionately. The Board also approved a reduction in the number of shares the Company is authorized to issue from 100 million to 10 million.
