(b) On March 1, 2006, Ms. Karen E. Dykstra notified Automatic Data
Processing, Inc. (the "Company") that she will resign as Chief
Financial Officer of the Company, effective May 1, 2006.
A press release issued by the Company in connection with Ms. Dykstra's
resignation is filed with this report as Exhibit 99.1
