Item 9. Regulation FD Disclosure
As a result of the completion of UnitedHealth Groups acquisition of Oxford Health Plans, Inc. on July 29, 2004, UnitedHealth Group is updating its previously announced 2004 financial expectations as set forth in the following paragraph.
UnitedHealth Group now expects 2004 full year revenues exceeding $37 billion, operating earnings of over $4 billion, cash flows from operations of approximately $3.8 billion, and diluted earnings per share ranging from $3.86 to $3.88.
From time to time in August 2004, William W. McGuire, M.D., Chairman and Chief Executive Officer of UnitedHealth Group Incorporated (the Company), Stephen J. Hemsley, President and Chief Operating Officer of the Company, and other senior members of the Companys management team will be meeting with investors and analysts. Those discussions will focus on the Companys strategy, tactics and future outlook, and will include a reaffirmation of the Companys publicly disclosed 2004 financial expectations.
