Item 7.01.   Regulation FD Disclosure.
     On June 16, 2008, Petrohawk Energy Corporation (the “Company”) commenced a private placement, offering to eligible purchasers of approximately $250 million of 7 7/8% Senior Notes due 2015. Proceeds of the offering are expected to be used to fund the Company’s capital budget for the year ending December 31, 2008, to fund acquisitions and to provide working capital for general corporate purposes. The notes will be subject to the same indenture as, and will be treated as a single class for all purposes with, the $500 million aggregate principal amount 7 7/8% senior notes issued by the Company on May 13, 2008.
     The notes have not been registered under the Securities Act of 1933 or applicable state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state laws. The Company plans to offer and issue the notes only to qualified institutional buyers pursuant to Rule 144A under the Securities Act and to persons outside the United States pursuant to Regulation S.
