Item 7.01 Regulation FD Disclosure.

     On July 10, 2006, several of our officers will make a presentation to banks and potential investors in connection with the refinancing of our credit facilities. In addition, on July 10, 2006, we issued a press release announcing our intent, as part of our refinancing, to enter into a new five-year $500 million revolving credit facility with Deutsche Bank AG New York Branch. A copy of the slide presentation is attached as Exhibit 99.A and a copy of the press release is attached as Exhibit 99.B and such exhibits are incorporated into this Section 7.01 by this reference.
