Item 5.02		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

     On June 28, 2010, Mark Leslie notified NetApp, Inc. (“NetApp”) that he will not seek re-election to NetApp’s Board of Directors (the “Board”). Mr. Leslie will continue to serve on the Board and NetApp’s Corporate Governance and Nominating Committee and Investment and Acquisition Committee through NetApp’s 2010 Annual Meeting of Stockholders, which will be held on August 31, 2010.
