Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

          Ingram Micro Inc. (the “Company”) today announced that Kent B. Foster, chairman and chief executive officer, has decided to retire as the Company’s chief executive officer and will become non-executive chairman, effective June 1, 2005. Gregory M.E. Spierkel, president, will be promoted to chief executive officer, while Kevin M. Murai, currently president along with Spierkel, will be promoted to president and chief operating officer, effective June 1, 2005. Messrs. Spierkel and Murai have been nominated to stand for election to the board of directors at the Company’s June 1, 2005 annual meeting of shareowners. A copy of the Company’s press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
