Item 9. Regulation FD Disclosure.
The following disclosure information is being furnished under Item 9- Regulation FD Disclosure of Form 8-K pursuant to Rule 101(e)(1) of Regulation FD:
On October 22, 2003, Westcorp held a conference call with its subsidiary company WFS Financial Inc. In this conference call, earnings guidance was provided, as follows:
| “Consistent with our previous guidance, we expect earnings to be $2.75 per share for all of 2003 at Westcorp and $3.40 per share for 2004. | |||
| We expect earnings at WFS Financial to be around $3.90 per share for all of 2003 down from $4.00 per share and commensurate with the increase in the amount of loans sold to Westcorp during the quarter.” |

Item 12. Results of Operations and Financial Condition.
On October 21, 2003, Westcorp issued a press release announcing its results of operations for the quarter ended September 30, 2003. A copy of that press release is attached to this Form 8-K as Exhibit 99.1 and is incorporated herein by this reference.
