April
19, 2007, Thomas H. Cooke, a member of the Board of Directors and chairman
of
the Audit Committee, notified the Company of his decision, for personal reasons,
not to stand for re-election at the Company’s next annual meeting. Mr. Cooke did
not advise the Company, or any of its executive officers, of any disagreement
with the Company on any matter relating to the Company’s operations, policies or
practices.
