Item 8.01  Other Events.
 
 
On November 15, 2007, AT&T Inc. ("AT&T") announced that it has completed the acquisition of Dobson Communications Corporation ("Dobson"), a provider of rural and suburban wireless communications services. Dobson shareholders received approximately $2.8 billion in cash in exchange for their shares. AT&T plans to promptly take actions to redeem approximately $2.5 billion of outstanding Dobson debt and expects that amount to be redeemed by the end of 2007.
