Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On May 26, 2005, the Board of Directors of SBC Communications Inc. ("SBC") increased the size of the Board to 15 members and elected Randall Stephenson a Director, effective June 1, 2005. Mr. Stephenson is currently Chief Operating Officer of SBC. Additional information about Mr. Stephenson may be found in SBC's 2005 Proxy Statement, dated March 11, 2005.
