Item 5.07 Submission of Matters to a Vote of Security Holders
We held our 2010 Annual Meeting of Stockholders on April 28, 2010. As of the record date, March 1, 2010, there were 11,018,288 shares of the Companys common stock outstanding and entitled to vote. The holders of 8,348,264 shares of common stock, 75.8% of the outstanding shares entitled to vote as of the record date were represented at the meeting in person or by proxy, and this amount represented a quorum. The proposals are described in detail in the 2010 Proxy Statement. At the 2010 Annual Meeting, our stockholders elected four Class C director nominees with terms expiring in 2013 to the Board of Directors and ratified the selection of the independent registered public accounting firm, KPMG LLP, as our independent auditor for the fiscal year ending December 31, 2010.
The matters acted upon at the 2010 Annual Meeting, and the voting tabulation for each matter, are as follows:
1: The election of four (4) directors to Class C for a term of three (3) years or until their successors shall have been elected and qualified.
