EXPLANATORY NOTE

This Amendment No. 1 on Form 8-K/A amends Spectrum Brands, Inc. Current Report on Form 8-K, filed with the United States Securities and Exchange Commission on November 2, 2007 (the "8-K").  This Amendment No. 1 corrects the date of the 8-K, the date of the announcement set forth in Item 8.01 and the date of Exhibit 99.1 thereto to November 1, 2007.

ITEM 8.01.  OTHER EVENTS

On November 1, 2007, Spectrum Brands, Inc. announced that it has completed the sale of the Canadian division of its Home & Garden business segment.  A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
