The Registrant has been unable to compile all pertinent information to complete the annual filing or complete providing the Registrant's accountant with all of the accounting information necessary to complete the annual report. The December 31, 2007 annual report could not be completed without unreasonable effort or expense.
      
The Registrant anticipates that it will file its Form 10-KSB within the fifteen day grace period provided by Exchange Act Rule 12b-25.
