Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 4, 2010, Dr. Paul Berg announced his intention to retire from the Board of Directors of Gilead Sciences, Inc. (the “Company”), effective as of the end of his term in May 2011. On November 5, 2010, the Company issued a press release announcing Dr. Berg’s intention to retire. Dr. Berg’s decision to retire was not the result of any dispute or disagreement with the Company. The full text of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference in its entirety.
