Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Converted Organics Inc. (the "Company") issued a press release today announcing that Peter Townsley, Executive Vice President, Chief Technology Officer and Director of Converted Organics Inc., has elected to resign from the Company as Executive Vice President and Chief Technology Officer as well as resign from the Converted Organics Board of Directors to pursue other interests. Mr. Townsley is not resigning due to any disagreement with respect to the Company's operations, policies, or practices. Mr. Townsley’s resignation is effective immediately.

The press release, dated January 12, 2009, is attached hereto as Exhibit 99.1.
