Item 7.01 Regulation FD Disclosure.

On Friday, December 22, 2006, Ferro Corporation (the Company) issued a press release announcing receipt of a letter from the New York Stock Exchange. The letter acknowledged the Company's filing of its Quarterly Report on Form 10-Q for the period ended September 30, 2006 with the U.S. Securities and Exchange Commission (SEC) and the Company's current status on financial filings with the SEC. The letter indicated that the Company would be removed from the Stock Exchange's list of late filers.
