Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

Effective September 1, 2006, the Board of Directors of Merck & Co., Inc. (the "Company") approved the election of John Canan to the office of Vice President, Controller, making him the Company’s principal accounting officer. Richard C. Henriques, the previous Vice President, Controller, has resigned from that position to become Vice President of Finance for Global Human Health, at the Company.

Mr. Canan, who is 50 years old, has served as Vice President, Corporate Audit and Assurance Services of the Company since July 1, 2003. Prior to that, Mr. Canan was Vice President, Controller Asia Human Health and Joint Ventures from September 1, 2002 to June 30, 2003 and Controller Asia Pacific Human Health from August 1999 to August 31, 2002, at the Company.
