ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION AND ITEM 7.01 REGULATION FD DISCLOSURE.
On July 28, 2009, China Security & Surveillance Technology, Inc. (the "Company"") issued a press release announcing 2009 second quarter earnings. A copy of the press release, which the Company is furnishing to the Securities and Exchange Commission, is attached as Exhibit 99.1 and incorporated by reference herein.
ITEM 8.01 OTHER EVENTS.
On July 28, 2009, the Company issued a press release announcing that it has signed a non-binding term sheet with Citadel Equity Fund Ltd. to restructure the terms of its two Guaranteed Senior Unsecured Convertible Notes due 2012. A copy of the press release, which the Company is furnishing to the Securities and Exchange Commission, is attached as Exhibit 99.2 and incorporated by reference herein.
