The following is a letter that was distributed by Analog Devices, Inc. to employees of Linear Technology, Inc. on August 19, 2016.

TO: All Linear Technology Employees

FROM: Vince Roche, Analog Devices’ President and CEO

SUBJECT: My upcoming visit to Milpitas

Dear Linear Technology Employees,

Now that we are a few weeks post announcement, I am planning to visit Milpitas to begin discussing integration planning and our joint future together. This will be the first of many visits as we work to better understand each other’s operations and cultures and build the new operating model I described in my earlier letter and video to you.

During my visit with your management team, we will discuss the thoughts, questions, and concerns you have raised and share as much of our integration plans as I can at this early stage. I have appreciated the comments you have already shared with me and my team and the energetic response from both Linear and ADI to the potential of our combined company.

I have also heard your concerns about how the acquisition might change life at Linear, and I want to reassure you that we are focused on making this transition as smooth and seamless as possible for you. I know one of the big concerns is what will happen to your compensation and benefits. Rest assured that as we seek to combine the best practices of our two companies, we want to keep in place the elements that make our respective companies great places to work. We plan to keep compensation and benefits largely unchanged for at least the first 12 months after close. Trust that we will be soliciting your input regarding the best incentives for our newly combined company and that you will have a voice in the final outcome.

So please keep the thoughts and questions coming, and as decisions about our future are made by our leadership teams, we will be sure to communicate them to you as soon as possible. Thank you for being part of this journey.

Vince
