ITEM 8.01 OTHER EVENTS.
On January 6, 2014, Wheeler Real Estate Investment Trust, Inc. (the “Company”), issued a press release announcing that the Company’s Board of Directors has approved the acquisition, for nominal consideration, of Wheeler Development, LLC, (“Wheeler Development”), a company wholly-owned by the Company’s Chairman and Chief Executive Officer, Jon S. Wheeler.
