Explanatory Note: The Common Shares, no par value (the Common Shares), of Primero Mining Corp. (the Issuer) became a class of securities registered under Section 12 of the Securities Exchange Act of 1934 on August 11, 2011. As of such date, Goldcorp Inc. beneficially owned 31,151,200 shares of Common Shares of the Issuer, representing 35.3% of the outstanding Common Shares, no par value, of the Issuer based on 88,249,831 Common Shares of the Issuer issued and outstanding as of September 30, 2011 as reported by the Issuer in its Form 6-K filed with the Securities and Exchange Commission on November 4, 2011.
