Item 2.02

Results of Operations and Financial Condition.

On April 23, 2010, Avon Products, Inc. announced that during the first quarter of 2010 it incurred net pre-tax costs of approximately $5 million, or $0.01 per share, associated with its restructuring programs previously announced in 2005 and 2009. These costs included accelerated depreciation of certain assets and third party fees.
