Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Prudential Financial, Inc. (the “Company”) previously reported the departure of Rodger A. Lawson as a Vice Chairman. On June 12, 2007, the Board of Directors of the Company awarded Mr. Lawson a bonus in respect of calendar year 2007 (pro rated to reflect his services to the Company through May 4, 2007) in the amount of $966,700, to be paid in July, 2007.
