Item 1.01 Entry into a Material Definitive Agreement.

At a meeting held on June 16, 2006, the Compensation Committee of the Board of Directors of Prudential Financial, Inc. and the Compensation Committee of the Board of Directors of The Prudential Insurance Company of America authorized and directed the appropriate officers to approve and adopt amendments, expected to become effective January 1, 2007, to the Prudential Supplemental Retirement Plan, the Prudential Insurance Supplemental Executive Retirement Plan and the PFI Supplemental Executive Retirement Plan to comply with Internal Revenue Code section 409A as added by the American Jobs Creation Act of 2004.
