This registration statement relates to the registration of additional securities of the same class as other securities for which registration statements are effective relating to the registrants Amended and Restated 1999 Equity Incentive Plan. Pursuant to General Instruction E of Form S-8, except as otherwise provided herein, this registration statement also incorporates by reference the registrants registration statement on Form S-8 (Registration No. 333-79167) and registration statement on Form S-8 (Registration No. 333-60046), relating to the registration of an aggregate of 1,880,000 shares issuable under the registrants Amended and Restated 1999 Equity Incentive Plan. Following the registration of the additional 450,000 shares under this registration statement, a total of 2,330,000 shares will be registered under the Amended and Restated 1999 Equity Incentive Plan.
