hereby given that the Annual Meeting of Shareholders of IDACORP, Inc. will be
held on May 20, 2010 at 10:00 a.m. local time at the Idaho Power Company
corporate headquarters building, 1221 West Idaho Street, Boise, Idaho 83702, for
the following purposes:

elect three directors nominated by the Board of Directors for three-year
terms;

Judith A. Johansen, (02) J. LaMont Keen, (03) Robert A.
Tinstman

2.

to
ratify the appointment of Deloitte and Touche LLP as our independent
registered public accounting firm for the fiscal year ending December 31,
2010;

3.

to
re-approve the material terms of the performance goals under the IDACORP
2000 Long-Term Incentive and Compensation Plan for purposes of Internal
Revenue Code Section 162(m);
|
|
4.

to
approve the IDACORP Executive Incentive Plan for purposes of Internal
Revenue Code Section 162(m); and
|
|
5.

transact such other business that may properly come before the meeting and
