On May 31, 2005, CellStar Corporation (the "Company") announced that effective as of May 24, 2005, John T. Kamm resigned from the Company's Board of Directors due to personal reasons. There were no disagreements between Mr. Kamm and the Company on any matter relating to the Company's operations, policies or practices, and Mr. Kamm did not serve on any committees of the Board. Effective May 24, 2005, Mr. Kamm also resigned from the Board of CellStar International Corporation/Asia. The press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
