SUBMISSION
TO THE DISTRICT COURT OF THE
APPLICATION
FOR DIVIDEND DISTRIBUTION
ROSH HA'AYIN,
Israel, January 7, 2010 - Partner Communications Company Ltd.
("Partner" or "the Company") (NASDAQ and TASE: PTNR), a leading Israeli mobile
communications operator, announces that, further to Partner's press
release from December 28, 2009 regarding the approval by Partner's Board of
Directors of a dividend distribution to its shareholders of NIS 1.4 billion
(approximately NIS 9.07 per share), which distribution does not meet the profit
criterion, as set by the Companies Law, 5759-1999 (the "Intended Distribution"),
the Company submitted on December 31, 2009 the application regarding the
Intended Distribution to the District Court for approval.
An
unofficial translation of the application submitted to the Court will be
submitted to the Securities and Exchange Commission via Form 6-K. Relevant
appendices to the application will be submitted via Form 6-K during next
week.
