On September 27, 2005, the Audit Committee of the Board of Directors of Neoprobe Corporation ("Company") accepted the resignation of KPMG, LLP ("KPMG") as the Company's principal accountants, and approved the engagement of BDO Seidman LLP ("BDO"), as the Company's independent registered public accounting firm for the fiscal year ending December 31, 2005. KPMG's decision to resign was made after being informed that the Audit Committee was considering engaging another accounting firm. The Audit Committee's decision to change independent accountants was approved by the Board of Directors of the Company. KPMG's audit reports on the Company's consolidated financial statements as of and for the fiscal years ended December 31, 2004 and 2003 did not contain any adverse opinion or disclaimer of opinion, nor were they qualified or modified as to uncertainty, audit scope or accounting principles. In connection with the audits of the two fiscal years ended December 31, 2004 and the subsequent interim period through September 27, 2005, i) there were no disagreements between the Company and KPMG on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedures, which disagreements, if not resolved to KPMG's satisfaction, would have caused KPMG to make reference in connection with their opinion to the subject matter of the disagreement, and ii) there were no "reportable events" as that term is defined in Item 304(a)(1)(iv) of Regulation S-B. During the years ended December 31, 2004 and December 31, 2003 and through the date hereof, the Company did not consult BDO with respect to the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Company's consolidated financial statements, or any other matter that was either the subject of a disagreement or reportable event as set forth in Items 304(a)(2)(i) and (a)(2)(ii) of Regulation S-B.
