(the "Company") entered into a $150 million Master Repurchase Agreement (the "Master Repurchase Agreement") with Banc of America Securities LLC and Bank of America, N.A. The Master Repurchase Agreement expires on March 4, 2010. Subject to the terms and conditions of the Master Repurchase Agreement, the parties may engage in the purchase, sale and repurchase of, inter alia, commercial mortgage loans, commercial mezzanine loans, B-notes, participation interests in the foregoing and commercial mortgage-backed securities at rates and terms as determined by the parties. The foregoing description is qualified in its entirety by reference to the Master Repurchase Agreement, which will be attached as an exhibit to the Company's Annual Report on Form 10-K which the Company intends to file in March 2005.
