Kinder Morgan, Inc. (the Corporation) is commencing an underwritten public offering (the Offering) of 32,000,000 depositary shares (the Depositary Shares), each representing a 1/20th interest in a share of the Corporations Series A Mandatory Convertible Preferred Stock, par value $0.01 per share pursuant to an effective registration statement. The Corporation intends to grant the underwriters a 30-day option to purchase a maximum of 4,800,000 additional Depositary Shares if the underwriters sell more than 32,000,000 Depositary Shares in the Offering. The Offering is subject to market and other conditions, and the Corporation may change the number of Depositary Shares offered or the timing of the Offering or decide not to proceed with the Offering.
Citigroup Global Markets Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated and Morgan Stanley & Co. LLC will act as joint book-running managers of the Offering.
