ITEM 3 Source and Amount of Funds or Other Considerations KIM, an independent investment advisor, has accumulated shares of EQS on behalf of accounts that are managed by KIM (?the Accounts?) under limited powers of attorney. All funds that have been utilized in making such purchases are from such Accounts. ITEM 4 Purpose of Transaction KIM has purchased Shares for investment purposes. Being primarily a fixed income manager, with a specialty focus in the closed end fund sector, the profile of EQS fit the investment guidelines for various Accounts. Shares have been acquired since January 13, 2000. ITEM 5 Interest in Securities of the Issuer A) As of the date of this Report, KIM owns 572,363 shares, which represents 9.18% of the outstanding Shares. George W. Karpus currently owns 8,000 shares purchased on September 5, 2002 at $6.54. Purchased on December 18, 2002 at $ 6.52 (100 shares), December 19 at $ 6.54 (1000 shares) and $ 6.53 (5000 shares) and $ 6.52 ( 900 shares) and December 20 at $ 6.52 (2000 shares).
