State below in reasonable detail why the Form 10-K, 20-F, 11-K, 10-Q, 10-D,
N-SAR or N-CSR the transition report portion thereof could not be filed within
the prescribed time period. (Attach extra sheets if needed.)
TS Electronics, Inc. (the "Company") has not been able to compile the requisite
financial data and other narrative information necessary to enable it to have
sufficient time to complete its Form 10-QSB by November 14, 2005 without
unreasonable effort and expense. This is, in part, due to the fact that on
October 19, 2005, the Company completed a reorganization transaction pursuant to
a Securities Exchange Agreement as reported by the Company in its Current Report
on Form 8-K and its Registration Statement on Form SB-2, filed with the
Commission on October 20, 2005 (the "Reorganization").

Prior to the Reorganization referenced in Part III above, the Company had
no significant operations since December 31, 2004. The Company expects a
significant change in results of operations from the corresponding period
for the last fiscal year. Because the Reorganization was completed
recently, the Company is not able to provide any reasonable estimate of the
results.
